Success-Fee Agreement

1. Contingency-based recovery assistance

The Sentinel Flow provides AI-assisted refund-recovery support for Section 301, Section 122, and IEEPA-impacted U.S. import entries under the May 2026 CIT framework. Recovery assistance is offered on a pure contingency basis: if no duties or credits are recovered, no success fee is owed.

2. When the success fee is triggered

The success-fee obligation is triggered when the user initiates a recovery workflow or claim from the Sentinel dashboard — for example, by clicking "Start Recovery", generating a CAPE evidence package, or signing a recovery engagement record. At that point a timestamped engagement record is created against the underlying Trade Entry.

3. Fee amount

The success fee is 15% of duties or credits actually recovered via the IEEPA / May 2026 CIT framework, net of any CBP-assessed offsets. The fee applies only to amounts that clear from CBP to the importer or the importer's broker.

4. Payment terms

The success fee is invoiced upon settlement and is due within 15 business days of the recovery clearing the importer's account, where applicable. Invoices are issued to the email of record on the workspace.

5. User review responsibility

The Sentinel Flow is a software utility. AI-assisted classifications, refund estimates, and CIT rationale are decision-support outputs. The user is responsible for reviewing every output with a licensed Customs Broker or counsel before any filing is submitted to CBP. Final HTS classification and filing responsibility remain with the importer under applicable Reasonable Care standards.

6. Subscription independence

Cancellation of a Sentinel Pro or Enterprise subscription does not void contingency obligations for recovery claims initiated during an active subscription period. Engagements signed while a subscription is active remain in effect until the underlying claim is settled, denied, or withdrawn.

7. Governing law

This Success-Fee Agreement is governed by the laws of the Province of Alberta, Canada, without regard to conflict-of-law rules.
